Bayer offers buy-out of Monsanto -  use of pesticide glyphosate contaminates majority of Germans

German pharmaceutical giant Bayer has announced its intention to offer $62 billion (€55 billion) in cash to takeover agrochemical company Monsanto, as the debate over the use of the pesticide glyphosate continues. EurActiv’s partner Milano Finanza reports.

Bayer AG, whose offer constitutes $122 a share, said that their proposal represented a substantial premium for Monsanto’s shareholders, as it is 37% higher than the American company’s closing share price on 9 May.

The German pharmaceutical and chemical group said that it intends to finance the deal with a mix of debt and equity, mostly through a rights offering. Bayer added that it predicts annual earnings from synergies totalling $1.5 billion within three years if its proposal were to be accepted.

The herbicide glyphosate can enter the body through food or drinking water. A new study has shown that the majority of Germans have been contaminated by the compound. EurActiv Germany reports.

The Jewish Monsanto Family of Louisiana included Benjamin, Isaac, Manuel, Eleanora, Gracia and Jacob. They made frequent purchases of Blacks including twelve in 1785, thirteen and then thirty-one in 1787, and eighty in 1768.

In 1794, Benjamin sold “Babet,” a Black woman, to Franco Cardel.  Manuel sold two Blacks from Guinea named “Polidor” and “Lucy” to James Saunders for $850 in silver.

Manuel Jacob Monsanto entered into at least 12 contracts for sale of slaves between 1787 and 1789 in Natchez and New Orleans, Louisiana.1135 “His family consists of himself and seven Negroes.“1136 Later, “Jacob Monsanto, son of Isaac Rodrigues Monsanto, one of the very first known Jews to settle in New Orleans, owner of a several-hundred-acre plantation at Manchac, fell in love with his slave, Mamy or Maimi William. Their daughter Sophia, grew up to be a lovely quadroon.” An excerpt of one of Benjamin’s many slave contracts follows:

“Be it known to all to whom these presents shall come, that I Benjamin Monsanto do really and effectually sell to Henry Manadu a negro wench named “Judy,” aged Eighteen years, native of Guinea, for the sum of four hundred Dollars in all the month of January in the year one thousand Seven hundred and ninety one; and paying interest at the rate of ten per cent for the remaining two hundred and fifty Dollars until paid; said negro wench being and remaining mortgaged until final payment shall have been made; wherewith I acknowledge to be fully satisfied and content, hereby renouncing the plea of non numerata pecunia, fraud, or others in the case Whatsoever; granting formal receipt for the same. For which said consideration…

Turning toxic - The Bayer-Monsanto merger | DW Documentary

A year after Germany’s Bayer Group took over Monsanto, and it’s struggling to deal with the US seed giant’s controversial reputation. Now Bayer is also liable for Monsanto’s legal bills - which are starting to mount alarmingly.

Roundup, a herbicide containing glyphosate sold worldwide by Monsanto has long been suspected of causing cancer. A California court has just awarded more than $2 billion in damages to a couple who had claimed that their use of the pesticide caused them to develop non-Hodgkin’s lymphoma . Bayer’s share price halved last year, and the consequences are already making themselves felt in the company itself: Around 12,000 jobs worldwide are to be cut in the next few years, a considerable proportion of them in Germany. CEO Werner Baumann, who pushed for the merger, is coming under increasing pressure. Voicing criticism, a majority of shareholders voted against absolving Baumann and other managers of their responsibility in the merger. Bayer is in the midst of its greatest crisis.

The film traces the effects of the merger and investigates potential new health hazards emanating from glyphosate. How has Monsanto tried in the past to influence politicians, scientists and public opinion? Did the Americans actually play down or ignore the dangers? And does Bayer really distance itself from these practices?
